CONSTITUTION OF THE ILLINOIS STATE MUSIC TEACHERS ASSOCIATION

ARTICLE I -- NAME AND AFFILIATION

The name of this Association shall be “Illinois State Music Teachers Association,” hereinafter referred to as “ISMTA” or as “the Association.”  ISMTA is affiliated with the Music Teachers National Association, Inc. (MTNA), Cincinnati, Ohio, a Code 501 (c) (3) organization.

ARTICLE II -- OBJECT

Section 1 -- The purpose of the Association is to further the art of music and to support the growth and professional development of music teachers in the state of Illinois by providing programs that encourage and support teaching, performance, composition and research.

Section 2 – The Association is organized exclusively for charitable, educational, and scientific purposes, including, for such purposes the making of distributions to organizations that qualify as exempt organizations under Section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

Section 3 – No part of the net earnings of the Association shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof.  No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to, any candidate for public office.  Notwithstanding any other provision of this document, the organization shall not carry on any other activities under Section 501 (C-3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under Section 170 (C-2) of the Internal Revenue Code, or corresponding section of any future federal tax code.

ARTICLE III - MEMBERSHIP

Section 1 -- Membership classifications and privileges shall be prescribed in the Bylaws of the Association.

Section 2 -- Annual dues for all categories of ISMTA membership shall be set by the Governing Board, with such information being made readily available to members of ISMTA and to prospective members.

Section 3 -- Membership in the Association may be terminated by the member or revoked by the Association as prescribed in the Bylaws.

ARTICLE IV -- OFFICERS

Officers of the Association shall be a President, President-Elect, two Vice Presidents, Secretary, Treasurer and five Directors, one of whom shall be the Immediate Past President. The manner of election and the duties of each officer are defined in the Bylaws of the Association.

ARTICLE V -- GOVERNING BOARD

Section 1 -- The Governing Board shall consist of the officers and directors named in Article IV, appointed chairpersons of committees and districts, and elected presidents of affiliated local associations.

Section 2 -- The Governing Board shall determine policies of the Association within the limits of the Constitution and Bylaws.  It shall actively pursue the purposes of the Association and shall have discretion in the disbursement of all funds of the Association.  It may adopt such rules and regulations for the conduct of Association business as shall be deemed advisable and may, in the execution of the powers granted, appoint such agents as it may consider necessary.

Section 3 -- The Governing Board shall have the power to rescind by a two-thirds vote any decision of the Executive Committee.

Section 4   Fourteen (14) members, of which at least three (3) shall be officers, shall constitute a quorum of the Governing Board.

Section 5 -- The Governing Board shall meet at least twice each year.  Special meetings of the Governing Board may be called by the President, or upon the request of not less than eighteen (18) members of the Governing Board, or upon a signed petition from fifty (50) Active members of the Association.  Notice of any special meeting shall be provided by the President to the entire Governing Board at least fourteen (14) days in advance of such meeting.

Section 6 -- The Executive Committee may submit items of business by mail to the full membership of the Governing Board, requesting a vote via a mail ballot.  The contents of the proposals and the results of such mail ballots shall be reported to the Secretary, approved and incorporated in the minutes of the next meeting of the Governing Board.

ARTICLE VI -- EXECUTIVE COMMITTEE

Section 1 -- The President, President-Elect, Vice-Presidents, Secretary, Treasurer, the Immediate Past President, and the Executive Assistant (ex officio without vote) shall constitute the Executive Committee of the ISMTA Governing Board, hereinafter referred to as “the Executive Committee.”

Section 2 -- The Executive Committee may exercise the powers and privileges of the Governing Board between Board meetings, particularly in such cases where immediate and timely disposition of business is required. Such business may be transacted at an actual meeting of the Executive Committee, or the President may conduct a mail ballot or telephone ballot of Executive Committee members.

Section 3 -- In order to transact business a quorum consisting of four voting members of the Executive Committee, at least one of them being the President or First Vice President, must be present.  Items of business conducted via a telephone/e-mail ballot must receive a majority vote of all members of the Executive Committee.  Each member shall confirm his or her vote by signed letter to the Secretary within fourteen (14) days.  Such items shall be reported to the Governing Board at its next meeting.

ARTICLE VII -- MEETINGS OF THE ASSOCIATION

Section 1 -- There shall be an annual meeting of the Association, at a time and place to be determined by the Governing Board.  Notice of such meeting shall appear in the official Association publication at least thirty (30) days prior to the time appointed for the meeting.  At this meeting the President shall permit the general membership to bring forward items for consideration.

Section 2  -- A quorum of the Governing Board plus fifteen (15) Active members shall constitute a quorum for the election of officers and for the transaction of business at any annual or special meeting of the ISMTA membership.

Section 3 -- The ISMTA membership shall have the power to rescind, by a two-thirds vote, any decision of the Executive Committee or of the Governing Board.

ARTICLE VIII -- POLICIES AND PROCEDURES MANUAL

Section 1:  The Association shall establish and maintain a Policies and Procedures Manual, which shall contain policies and procedures concerning the several programs operated by the Association, and of such other matters as the Association may deem suitable.

Section 2:  The ISMTA Policies and Procedures Manual shall be provided to each officer and chair of the Association, and shall be made available upon request to any other member of the Association.

Section 3:  The Governing Board may amend the Policies and Procedures Manual at any meeting by a majority vote.  The ISMTA membership shall be notified in a timely fashion of any and all changes to the Policies and Procedures Manual.   

ARTICLE IX -- PARLIAMENTARY AUTHORITY

Section 1  -- The Association shall be governed in accordance with the most recent edition of Robert’s Rules of Order, Revised, in all cases to which they are applicable, and where they are not inconsistent with the Constitution and Bylaws of the Association  or any special rules of order the Association may adopt.
 
Section 2 -- The President may appoint a parliamentarian to provide parliamentary opinion during any meeting of the Association or one of its boards or committees.

ARTICLE X -- COMMITTEES

The President, subject to the approval of the Governing Board, shall appoint such standing and ad hoc committees and chairs as may be required by the Constitution and Bylaws, or as represent the well-defined and continuing interests of the Association..  The President shall be a member ex officio of all committees except the Nominating Committee.

ARTICLE  XI -- DISTRICTS

The state is divided into districts, the number and allocation of which are determined by the Governing Board.  The chairman of each district shall be appointed by the President.

ARTICLE XII -- AFFILIATED LOCAL ASSOCATIONS

Section 1 -- Local Associations may be formed as specified in the Bylaws.  Any such Local Association may become and remain affiliated with ISMTA by fulfilling the requirements of membership as stated in the Bylaws.

Section 2 -- The Governing Board may suspend or terminate any affiliated Association at any time for justifiable cause, as outlined in the Bylaws, subject to ratification of this action by the Governing Board.

ARTICLE XIII -- PUBLICATION OF CONSTITUTION AND BYLAWS

The ISMTA Constitution and Bylaws shall be printed and distributed to the membership annually.

ARTICLE XIV -- AMENDMENTS

Section 1 -- The Constitution may be amended upon the recommendation of the Governing Board at any Annual Business Meeting by a two-thirds (2/3) vote of the Active members present and voting.  Written notice of the proposed amendment(s) must be submitted to the ISMTA membership at least fourteen (14) days before the annual meeting, and shall again be included in the call for the current meeting.

Section 2 -- The Constitution may be amended upon the recommendation of the Governing Board by a mail ballot.  Approval by a two-thirds vote shall constitute amendment.  The ballot and proposed amendments must be submitted to the members of ISMTA at least thirty (30) days in advance of the required return date.  The date for return of the completed ballots must be clearly stated on the ballot.

ARTICLE XV -- DISSOLUTION OF THE ASSOCIATION

Should the dissolution of ISMTA become necessary, the Secretary shall notify the Music Teachers National Association of the dissolution, and the Treasurer shall pay, or make provision for the payment of, all liabilities of the Association. The Governing Board shall dispose of all remaining assets of the Association to the Music Teachers National Association, or exclusively for the purpose of the Association in such a manner, or to such organization(s), organized and operated exclusively for educational purposes as shall at the time qualify as an exempt organization under Section 501 (C-3) of the Internal Revenue Code of 1954, or the corresponding provision of any future United States Internal Revenue Law.

 

 

BYLAWS OF THE ILLINOIS STATE MUSIC TEACHERS ASSOCIATION


ARTICLE I -- MEMBERSHIPS AND QUALIFICATIONS

Section 1-- Active membership is open to any person professionally engaged in any field of musical activity, or to the administrator of any institution of learning with an active music department committed to the objective of the Association as stated in the Constitution, who is also a member of the Music Teachers National Association.  Active members shall be entitled to participate in all Association activities and programs (subject to the payment of any registration fee), to vote, hold office and receive the official Association publications.  MTNA strongly encourages its members to adopt the Code of Ethics as their personal model of professional conduct.  Senior status may be granted upon application to any person who has attained the age of sixty-five (65) or more years who has been an active member of ISMTA for at least ten consecutive years.  Such status provides all privileges of Active membership, as well as a reduced membership fee.

Section 2 -- Associate membership is open to any person who is not professionally engaged in musical activity but who wishes to support the program of the Association.  Associate members shall be entitled to participate in all Association activities and programs (subject to the payment of any registration fee), but are not entitled to vote, hold office, enter students into Association programs or to apply for certification.

Section 3 -- Student membership shall be open to all full-time college music students who are also members of an affiliated association.  Student members shall be entitled to attend programs of the Association upon payment of the registration fee, to receive the official Association publication, and, under the supervision of an Active member, to enter students into the ISMTA Achievement in Music Program (AIM Program), but shall not have the right to vote, hold office, apply for national certification, or enter students into ISMTA or MTNA competitions.

Section 4 -- Honorary membership may be conferred by the Governing Board upon any individual who has given distinguished service to ISMTA or to the art of music.  Such members who qualify for Active or Associate membership in the Association shall have all the rights and privileges of such membership, and shall be exempted from payment of ISMTA (i.e. State) dues.

ARTICLE II -- REVOCATION OF MEMBERSHIP

No person who has been convicted of a crime involving the sexual or other abuse of a person shall be a member of ISMTA.  Any accusation that a member of ISMTA has been convicted of a crime involving sexual or other abuse of a person shall be reported to the President of ISMTA, who shall immediately report the accusation to the President of MTNA, who shall appoint a three-person committee to ascertain the validity of a conviction.  If the committee substantiates that a person has been convicted of a crime involving sexual or other abuse of a person, the President of MTNA shall immediately terminate the membership, and the certification of that person.  Any action authorized by the MTNA President in this article may be appealed to the Board of Directors of MTNA.

Any membership terminated under this article shall be reinstated upon the filing with the MTNA President of a certified copy of the judgment reversing the conviction.

ARTICLE III -- FISCAL YEAR

The fiscal year of the Association shall commence on July 1 and end on June 30.

ARTICLE IV -- MEMBERSHIP YEAR

Section 1 -- The membership year for all membership categories except that of student membership shall coincide with the fiscal year, July 1 to June 30.  The student membership year shall be October 1 to September 30.

Section 2   Annual dues for all categories of membership shall be due on the first day of the membership year, after which date members are not in good standing nor entitled to any of the privileges of membership until dues are paid for the current membership year.  However, in order to enter students in ISMTA or MTNA competitions, annual dues must be paid by the first day of the membership year.

Section 3 -- One year’s dues must accompany application for Active, Associate, or Student membership.

ARTICLE V -- ELECTION OF OFFICERS

Section 1 -- The two Vice Presidents, Secretary, Treasurer and four Directors shall be elected for three-year terms according to the following schedule:  The two Vice Presidents and two Directors in 1996 and every three years thereafter; the Secretary, Treasurer and Two Directors in 1997 and every three years thereafter.  The President-Elect shall be elected for a one-year term that shall be concurrent with the final year of the President’s term.  Upon completion of the President-Elect’s term he or she will become President (in 1999 and every three years thereafter).  Should the elected President-Elect be unable to assume the Presidency, the President shall be elected, for that term only, in the same manner as that of the other officers.  The retiring President automatically becomes a Director until the completion of the new President’s term of office.  

Section 2 -- A Nominating Committee shall be selected to nominate candidates for ISMTA offices one year before the election to each respective office.  The committee shall consist of the Immediate Past President and four Active members of the Association.  The committee shall elect its own chair.  The Nominating Committee shall prepare a slate of not more than two (2) candidates for each office.  This slate shall appear in an issue of the official Association publication at least thirty (30) days before the date of the annual meeting of the Association.

Section 3 -- The Active members of ISMTA shall elect by a majority vote the officers of the Association.  Additional nominations may be made from the floor at the Annual Meeting, providing that the nominee is eligible for election and has consented to be a candidate; this consent must be in writing or given in person at the Annual Meeting.  Election by the members must be by secret ballot. In the event of only one nominee for an office, the President may recommend election by general consent.  Separate elections shall be held for each office.

Section 4 -- All terms of office shall expire thirty days after the Annual Meeting.  

Section 5 -- No officer may hold national, division or state offices concurrently, except that of Immediate Past President.

Section 6 -- A vacancy in the office of President shall be filled by the President-Elect during the latter’s term of office, at other times by the First Vice President.  A vacancy in any office, except that of President, shall be filled by the President in consultation with the Governing Board.  A President-Elect or First Vice President selected in this manner cannot assume the office of President without being elected to be President.

ARTICLE VI -- DUTIES OF OFFICERS

Section 1 -- President
The President shall be the principal elective officer of the Association, and shall convene and preside at all meetings of the Association and of the Governing Board and its Executive Committee.  He or she shall sign all orders and acts of the Association so as to validate them; shall appoint such standing and ad hoc committees as may be required by the Constitution and Bylaws or as represent the well-defined and continuing interests of the Association in all fields, and shall appoint the chair of each; shall fill vacancies in any ISMTA office or position on the Governing Board except those of Local Association Presidents, shall be an ex-officio member of all committees except the Nominating Committee; shall name all appointive officers which may be  required by the Association;  shall appoint district chairpersons; shall delegate specific responsibilities to the Vice-Presidents and to the Directors as he or she may deem appropriate; and shall have charge of correspondence relating to the Association; shall notify each Governing Board member at least  fourteen (14) days in advance of any Board meeting; shall be responsible for maintaining records of all phone ballots of the Executive Committee and report the same to the Secretary for inclusion in the minutes;  shall attend the MTNA Conference and represent ISMTA in the MTNA Council of State Presidents.

Section 2 -- President-Elect
The President-Elect shall assume all duties of the President in the case of the latter’s absence or inability to preside.  The President-Elect, during his or her one-year term of office, shall work closely with the President in any and all aspects of the work of the Association.  At the conclusion of his or her term the President-Elect shall become President, unless the President-Elect was appointed to that office.  In such a case the President-Elect must be elected to the office of President.

Section 3-- First Vice President
The First Vice President shall assume all duties of the President in case of the latter’s absence or inability to preside, except during the term of the President-Elect; shall preside over any meeting when a motion affecting the President is before the Association; shall chair the Conference Planning committee; shall be assigned specific responsibilities by the President.  A vacancy in the office of President shall be filled by the First Vice President, except during the term of the President-Elect.

Section 4 -- Second Vice President
The Second Vice President shall assume all duties of the President in case the President, the President-Elect and the First Vice President are absent or unable to preside; shall serve as Local Associations coordinator and shall perform other specific duties as assigned by the President.

Section 5 -- Secretary
The Secretary shall record the minutes of all the business meetings of the Association, and of the Governing Board and its Executive Committee. He or she shall maintain records of all mail ballots of the Executive Committee or Governing Board, including them in the minutes.  Copies of the minutes of Governing Board meetings shall be mailed to Governing Board members within thirty (30) days following each meeting.  The Secretary shall also insure that the minutes are in legal form and properly preserved, and shall perform other duties as may be assigned by the Governing Board or by the President.  The Secretary shall also take attendance at Governing Board meetings and receive proxy notices, to assure that Board members or their authorized representatives are seated at Board meetings.

Section 6 -- Treasurer
The Treasurer shall have charge of all funds and do the banking for the Association, and shall pay all bills authorized by the President; shall be responsible for the preparation of the Annual Report and income tax forms; shall make monthly financial statements to the President and financial reports at all Board meetings.  Bills must be submitted within the fiscal year or not later than thirty (30) days thereafter.  An auditor selected by the ISMTA Governing Board shall make an annual audit.

Section 7 -- Directors
Directors shall be advisors to the ISMTA President and Governing Board, and may be assigned specific responsibilities by the President.

Section 8 -- District chairs
District chairs, appointed by the President, shall promote appropriate Association activities within their districts, shall organize and preside at such ISMTA or MTNA competitions as may be held at the district level in that district, and shall perform other duties as may be assigned by the Governing Board or by the President.

Section 9-- All officers and chairpersons shall prepare reports for each Governing Board meeting, providing copies for each Board member; shall maintain orderly records of affairs of their particular position, and shall turn such records over to their properly elected/appointed successors within thirty (30) days following the expiration of their respective terms.

Section 10-- The Treasurer shall be bonded in amounts designated by the Governing Board.  The fee shall be paid by the Association.

Section 11 -- The Association shall reimburse its officers, chairs and committee members for  expenditures for phone, postage, supplies, travel, etc. which they may incur in the performance of their tasks for the Association.  Reimbursements for travel shall exclude travel to a Conference or other meeting of ISMTA or of one of its boards or committees.  No expenditure of Association funds shall be made for labor, services, or time spent doing work for the Association, except as may be specifically authorized in advance by the Association.  No expenditure for labor, services, or time expended in doing work for the Association, shall necessarily be construed to establish a precedent for subsequent decisions; each case shall be decided specifically upon its own merits.

Section 12 -- Should the President be unable to represent ISMTA in the MTNA Council of State Presidents at the MTNA Conference he or she may appoint an alternate delegate, notifying the MTNA Credentials Committee of such appointment.  The Association shall pay for traveling expenses incurred by the President or alternate delegate in attending the MTNA Conference.

Section 13:  The Association shall pay traveling expenses for the President-Elect to attend the MTNA Conference and Division Board Meetings that occur during his or her term of office.  Expenses paid for the President-Elect shall be the same as those paid for the President.

Section 14-- If any officer is absent from three (3) consecutive meetings, the President may appoint a person to fill said office until the next election.

ARTICLE VII -- STANDING COMMITTEES

Section 1 -- The Conference Planning Committee shall consist of the First Vice President (chair), the Treasurer, the Auditions Coordinator, the Newsletter Editor, the president(s) of the Local Association(s) nearest the Conference site, plus such additional members as the chair may deem necessary.  If the Conference is to be held on a college or university campus, an ISMTA member from the faculty of the host college or university shall be appointed as “Local Chair,” and shall also serve on the Committee. This committee shall be responsible for planning Association conferences, and shall receive guidance from the Governing Board and comment from the ISMTA membership regarding conference location, program and clinicians.

Section 2 -- The Finance Committee shall consist of the President, the President-Elect (during his or her term of office), First Vice President and Treasurer, plus others as the President may consider appropriate by virtue of their expertise and/or knowledge.  This committee shall be responsible for preparation of the Association’s annual budget, subject to the approval of the Governing Board.

Section 3 -- The Competitions Committee shall consist of the Competitions Coordinator, the Illinois chairs of the several MTNA competitions, the district chairs and the Local Chair of the site of the Association Conference.  This committee shall be responsible for the operation of the Association’s competitive auditions as well as those MTNA competitions held under ISMTA auspices, subject to the approval of the Governing Board.

Section 4 -- The Achievement in Music Program (AIM Program) Committee shall consist of the AIM Chair, the Theory Chair and the chairs of the several ISMTA AIM performance areas.  This committee shall be responsible for the development and operation of the Association’s AIM examination program, and shall determine policies, procedures and fees for the AIM program.

Section 5 -- The Certification Committee shall consist of the Certification Chair and the Certification Chairs of the ISMTA local associations. This committee shall serve as the liaison and be responsible for the operation of the MTNA certification program within Illinois.   

Section 6 -- The Planning Committee shall consist of the Immediate Past President (chair) and four other active members of the Association.  This committee shall be responsible for initiating future planning for the Association, and shall receive comment from the Governing Board and the ISMTA membership regarding the future direction of the Association.

Article VIII  - LOCAL ASSOCIATIONS

Section 1 -- Local Associations within ISMTA may be formed in any part of Illinois where at least six ISMTA members reside who wish to form such a local association, provided that there is not already a local association in that locality.  The ISMTA Governing Board may define the boundaries between local associations at its discretion.  No local association shall be formed, dissolved, split into two or more local associations, or enlarged by merger with another local association or associations, without the approval of the ISMTA Governing Board and of each local association involved.

Section 2 -- Any such Local Association may petition to the Governing Board for affiliation with ISMTA and MTNA by providing evidence that the following requirements have been fulfilled:
    a.  That two (2) copies of the Local Association governing documents (Articles of Incorporation, Constitution and Bylaws) have been filed with the Secretary and that they are consistent with those of ISMTA and of MTNA.
    b. That its fiscal and membership year coincide with that of ISMTA.

Section 3 -- In referring to its affiliation, each local Local Association shall use the phrase “Affiliated with the Illinois State Music Teachers Association and the Music Teachers National Association.”  This specific phrase shall be included in the constitutions of all affiliated Local Associations.

Section 4-- The members of such Local Associations shall have the power to elect such officers as may be necessary to carry on the local business, and shall have power to make Bylaws, Rules and Regulations for the work of their respective local associations.  However, such Local Associations shall make no Bylaws, Rules, or Regulations that will be inconsistent with the Laws of ISMTA.  Copies of all laws and amendments shall be filed with the Second Vice President before final adoption by any Local Association.

Section 5-- The President of each affiliated Local Association shall be a full member of the ISMTA Governing Board, shall attend Board meetings or appoint an alternate representative from the Local Association, shall report on the activities of his or her Local Association and shall represent the interests of his or her association regarding ISMTA business.  Should a Local Association President be unable to attend a Governing Board meeting, he or she shall appoint an alternate, notifying the ISMTA Secretary of the same by means of a proxy notice.

Section  6 -- For such local association to be affiliated with ISMTA and MTNA, all of its members must be members of ISMTA and MTNA.

Section 7 -- Annual renewal of a Local Association’s affiliation shall be made without reconsideration by ISMTA provided:
    a.  That the affiliate has not formally notified ISMTA that it wishes to discontinue affiliation.
    b.  That all changes in the Constitution and Bylaws of the affiliated Local Association have been filed with ISMTA, that they are consistent with the Constitution and Bylaws of ISMTA and have been approved by ISMTA.
    c.  That all provisions of Sections 2 and 6 of this Article continue to be fulfilled.

ARTICLE IX -- STUDENT CHAPTERS

Section 1 -- Collegiate Chapters within ISMTA may be formed in any part of Illinois where there are at least four Student Members plus a faculty advisor who is an Active Member of ISMTA.

Section 2 -- The members of such student chapters shall have the power to elect such officers as may be necessary to carry on the chapter business, and shall have the power to make Bylaws, Rules and Regulations for the work of their respective chapter.  However, such student chapter shall make no Bylaws, Rules or Regulations that will be inconsistent with the Laws of ISMTA.  Copies of all laws and amendments shall be filed with the Chairperson of Student Activities before final adoption by any student chapter.

Section 3 -- For such student chapter to be affiliated with ISMTA and MTNA, all of its members must be members of ISMTA and MTNA.

Section 4 -- A Collegiate Representative to the Governing Board shall be appointed by the President upon the advice of the Collegiate Chapters Chair.  Such representative shall be a student member, shall maintain contact with all collegiate chapters in ISMTA, shall attend Governing Board meetings and shall represent the interests and concerns of collegiate chapters and members to the Governing Board.

ARTICLE X - HEADQUARTERS, MAILING ADDRESS AND CENTRAL OFFICE

Section 1-- The headquarters and official mailing address of this Association shall be that of the President.

Section 2 -- ISMTA may, at its option, maintain a Central Office as a repository for Association records and materials, and for such other purposes as the Association may consider beneficial.  The location of this Central Office shall be determined by the Governing Board.

Section 3 -- The Executive Assistant shall be responsible for the operation of the ISMTA Central Office, for the maintenance of ISMTA membership records, and for any other duties that may be assigned by the Governing Board or by the President.  The Executive Assistant shall be chosen by the Governing Board and shall serve at the pleasure of that Board, who shall also determine the terms of employment and the level and kind of compensation.  The Board shall also conduct periodic evaluation of the work of the Executive Assistant.

ARTICLE XI-- AMENDMENTS

Section 1 -- These Bylaws may be amended at any meeting of the Governing Board by a two-thirds (2/3) vote.  Written notice of the proposed amendment(s) must be submitted to the Governing Board at least fourteen (14) days before the meeting.

Section 2 -- These Bylaws may be amended by a two-thirds vote via a mail ballot open to members of the Governing Board.  The ballot and proposed amendment(s) must be submitted to the Governing Board at least thirty (30) days in advance of the required return date.  The date for return of the completed ballots must be clearly stated on the ballot.
